GLFI GREEN LEAF FARMS INTERNATIONAL COMMENCES OFFERING TO FUND ITS 400 ACRE MANAGEMENT CONTRACT IN ARGENTINA

Las Vegas, NV – August 20, 2019 –  GLFI, Inc., doing business as Green Leaf Farms International a privately held company that is a majority owned subsidiary of Players Network, Inc. (OTCPK: PNTV), which has been established to finance and manage international cannabis operations in Jujuy Argentina, has announced today that it will be conducting an initial first round capital offering of up to $4,200,000 in a private offering.

Previously announced, PNTV signed a Management Agreement with GLFI to operate, fund and expand International markets starting with 400 acres of prime farmland in Jujuy Argentina.  PNTV filed a Form 8-K on August 6, 2019, which the reader is referred to, with the details of the Management Agreement between PNTV and GLFI.

GLFI was structured to not hold any US assets and by doing so is expected to provide two main benefits to PNTV shareholders. The first benefit of the structure will eliminate the restrictions that federally regulated institutional funding sources have on investing directly in US public cannabis companies, and secondly, by not holding US cannabis assets, the company will not be restricted from uplisting to a national exchange, like the Nasdaq Capital Market, once the Company meets the eligibility requirements to do so.  (The Company has already reserved the symbol “GLFI” with Nasdaq, preparing the Company’s first step of many to be eligible to list on a national exchange.)

The project in Jujuy, Argentina is the first of its kind and the only known partnership between a government and a private company to develop the cannabis industry. As mentioned above, a Form 8-K by PNTV was filed detailing the management agreement between PNTV and GLFI on the Jujuy project that is well underway and has already hit major milestones in the construction of its 20 greenhouse campus spanning 6 football fields, and its cultivation progress in Argentina that is expected, barring countervailing circumstances or a lack of capital, to harvest its first crop and have sales within 6 months.

Mark Bradley CEO of GLFI States; “Canadian cannabis companies such as Canopy Growth, Aurora Cannabis and Supreme Cannabis, to name a few, trade on US-listed national exchanges at market caps in the billions, and are able to be listed because they do not have any US cannabis holdings, which allows them to attract institutional investors who are prohibited from investing in US companies due to federal restrictions.”

Bradley adds, “By positioning GLFI as an international management company with no US assets, our future plans are to be listed on a national exchange that should allow the same access to capital of these other companies, and give GLFI the ability to leverage its international opportunities structured to produce substantial revenues to qualify for a national exchange, which we believe will greatly benefit of our shareholders.

This press release shall not constitute an offer to sell or the solicitation of an offer to buy any security and shall not constitute an offer, solicitation or sale in any jurisdiction in which such offering, solicitation or sale would be unlawful. Any offers of equity securities will be made only by means of a private offering memorandum.

GREEN LEAF FARMS INTERNATIONAL (PNTV/GLFI) ENGAGES GROWSMITH AS ITS MANAGEMENT TEAM TO HEAD UP ITS CULTVATION EXPANSION

Green Leaf to begin its cultivation on a commodity level production of cannabis oils, distillates, isolates and related products for distribution and has now assembled its management team to oversee its Las Vegas and Argentina projects.

Las Vegas, NV –  April 16, 2019 –  Player’s Network, Inc. (OTCQB: PNTV), is in the process of changing its name to Green Leaf Farms International, Inc. with the new ticker symbol to be GLFI.  PNTV/GLFI is a rapidly growing company in the worldwide cannabis industry with initial operations in Nevada and currently building a medical derivatives production project in Argentina.

Growsmith was first tasked with revamping and optimizing the Company’s 27,000 sq. ft indoor North Las Vegas facility which serves the Nevada market. Since Growsmith took over the company’s North Las Vegas facility in January, the operation is running much more efficiently and producing a higher quality product, leading to greater revenue. The Growsmith team is now preparing next month to help train and educate local agriculture workers in Argentina to transition them into experts in the art and science of cannabis production with medical purposes.

As previously announced in its definitive agreement, the Company has entered into a joint venture with a state owned company of the government of Jujuy Province, Argentina, with the purpose of producing cannabis medical derivatives. Also as previously announced the state owned Company has received approval from the Argentine government to import cannabis seeds to begin operations to produce medical cannabis oils, distillates, isolates and related health products for the local public health system, clinical trials, medical product registration, and exportation of medical derivatives.

The first phase of the Jujuy project has already received security and health approvals, with the first 8 hectares (20 acres) of land irrigated and ready for planting, expected to take place this year  in accordance with Argentinean law and federal government approvals.

There is a rapidly growing worldwide demand to supply a wide range of industries including soft drink, cosmetic, pharmaceutical, nutraceutical and other health related industries with CBD-infused products and Green Leaf has positioned itself as a producer of Cannabis based commodities.

In order to manage such operations Green Leaf undertook a search for a highly experienced cultivation and production team with the experience and knowhow to produce cannabis on such a large scale.  After several months of interviewing companies, management selected Growsmith.  Led by its founder, Mr. Vyas, Growsmith brings an experienced team of over a dozen agricultural experts with more than 100 years of combined experience in a wide range of disciplines. Over the past eight years Growsmith has been part of the infrastructural design, environmental management and build-out of over 1 million sq. ft of cannabis growing operations in the U.S., Canada, and other countries.

Vyas President of Growsmith states, “We are thrilled to be chosen by Green Leaf Farms to spearhead the cultivation and production operations for both their North Las Vegas and Argentinian projects. This relationship is the culmination of over a year of due diligence on behalf of both our groups. We are excited for the opportunity to showcase the many skills and resources our team has developed, as well as sharing this knowledge through the development of educational programs”.

Mark Bradley CEO of Green Leaf Farms states, “The Growsmith team has the depth of knowledge and experience needed to take on our projects. Most importantly they possess the passion and understanding of what’s needed to be successful while not just entering, but creating a whole new market producing commodity level quantities of cannabis distillates, oils, and isolates now being demanded by the rapidly emerging worldwide market for cannabis infused products. I am pleased to add Mr. Vyas  and his team to ours.”

PLAYERS NETWORK AND CANNAVA, HAS BEEN APPROVED TO IMPORT CANNABIS SEEDS TO JUJUY PROVINCE, ARGENTINA TO PROPAGATE THE WORLD'S LARGEST CANNABIS FARM

This Historical Milestone Marks the Beginning of the Next Generation for the Cannabis Industry as Cannabis Raw Materials Become Commodity Products.

Las Vegas, NV – March 6, 2019 –  Player’s Network, Inc. (OTCQB: PNTV), is in the process of changing its name to Green Leaf Farms International, Inc. PNTV/GLFI, a rapidly growing company in the worldwide cannabis market and CBD industries, with operations in Nevada and now Argentina, announced today that together with its Argentina joint venture partner, Cannava, it has received approval from the Argentine government to import cannabis seeds from the United States into Jujuy Province, Argentina.

This is the first time the Argentine government has approved such a venture. PNTV previously announced approval of seeds from a security standpoint, this approval, by the highest government agencies, was given exclusively to the joint venture with the goal of establishing Jujuy Province as the world’s leading supplier of cannabis oils, distillates, isolates, and biomass to a rapidly growing and underserved worldwide market.

As those knowledgeable of the industry know, there is an explosion of pharmaceutical, cosmetic, and health-related cannabis-infused products entering the global marketplace. At the present time most of these products are being introduced by small, start-up companies, although press reports indicate that the market demand is becoming so large and expanding so rapidly that a number of Fortune 500 companies in a wide range of industries including soft drink, adult beverage, cosmetic, pharmaceutical, and other health related industries are developing their own CBD-infused products.

This greatly increased demand for cannabis raw materials – CBD (and in some countries THC) Oils, Distillates and Isolates – will soon make these a commodity like other agricultural products.  The company that dominates this market niche will be the one that establishes itself as the lowest cost, highest quality, reliable supplier. That supplier will be Green Leaf Farms International!

As previously announced, working in partnership with Jujuy Province, GLFI and its joint venture partner have negotiated a 99-year lease on 14,000 hectares or 34,600 acres (54 square miles) of prime agricultural land. The temperate climate near the equator allows virtually year-round growing conditions.  In addition, working with the Argentine government, a tax-free trade zone has been established for the processing and worldwide distribution of the cannabis oils, distillates, isolates, and biomass grown on this land.  Due to the quality of the land, ideal year-round growing conditions, low-cost agriculturally skilled labor force and, most importantly, absence of burdensome regulations and taxes, the company believes this joint venture with Argentina positions it to produce the highest quality, lowest cost raw materials that will enable GLFI to be the dominant player in this exploding worldwide market.

The initial genetics includes approximately 25,000 seeds of carefully selected strains to propagate in test plots. This first batch is scheduled to be delivered in Argentina this month. The Green Leaf Farms cultivation team on the ground there will immediately begin planting the initial plots.

These initial growths will allow our technical team to evaluate how the various strains react to the environment.  Large scale cultivation of the chosen strains will begin in September.  In addition to ideal growing conditions, the joint venture has ready access to hundreds of skilled agricultural workers in this area that will be required for this new industry being established to export large quantities of high quality medical and other full spectrum oils, distillates, and isolates to legal markets around the world.

Prior to the importation of the seeds Green Leaf Farms passed a rigorous security plan including all security equipment and protocols was developed, approved, and installed by the Argentina National Guard.  The security protocol includes locking down the entire cultivation area with video surveillance, lighting, communication systems and armed guards which are all now in place.

Mark Bradley, CEO of Green Leaf Farms states, “it has been a pleasure working with Gaston Morales, the CEO of Cannava.  We share the same vision of how the cannabis industry in Jujuy can become a leading role model to the world as the cannabis industry evolves into a true commodity market.”  Bradley adds, “Being among the first to view cannabis as a commodity, and meeting all the challenges we have now completed, has been rewarding in so many ways.  Allowing our genetics to be imported to begin the cultivation process is a major milestone at a truly exciting time, not only for our company, but for the entire cannabis industry.”

Letter to Shareholders

Valued PNTV Shareholders:

Due to the rapid growth currently taking place in the global cannabis and CBD industries combined with the overwhelmingly positive interest in Green Leaf Farms International, Inc., which is positioned to be the largest cannabis cultivation operation in the world; there has never been a more exciting time in the company’s history to be a shareholder. The following is a compendium of recent events shaping the company’s future.

Name change from “Player’s Network” to “Green Leaf Farms International”Players Network was the right brand name when the company’s business model revolved around Las Vegas and the Gaming Entertainment Industry.  With the company’s current business model revolving around the International Cannabis and CBD Markets, with operations in the United States and Argentina, supported by the company’s Media Distribution Platform WeedTV, the time is right to update our name to more accurately reflect our business. Management anticipates the effective date for the Name and Symbol change to officially take place during the week of March 18th, 2019. For more information please read the original press release regarding the name change.

The Green Leaf Farms International Business Model Green Leaf Farms International (GLFI) has entered into a Definitive Agreement with the province of Jujuy, Argentina, creating “Canna S.E”, a Joint Venture Company.  This signed agreement constitutes the largest cannabis cultivation operation in the world consisting of 14,000 hectares (33,600 acres / 52.5 square miles).

The explosive legalized growth of the Cannabis Industry in the United States, Canada, and worldwide is rapidly transforming cannabis products into valuable commodities like corn, soybeans, crude oil, natural gas and gold.  With cultivation, productions, extraction and distribution operations in Argentina, GLFI is perfectly positioned to be a powerful First Mover and Market Leader.

Over 36 countries have legalized cannabis and/or CBD, with many more in the pipeline.   Several U.S. States and Canada have fully legalized THC for recreational use.  Start-ups and Fortune 500 companies are rapidly developing an array of products utilizing CBD oils and hemp for use in healthcare and wellness, edibles, energy drinks, cosmetic, textiles, pets and many more products, creating worldwide demand for these cannabis and CBD products.

GLFI’s comprehensive Agreement with the Government of Argentina allows us to produce these cannabis/hemp products without the high taxes and compliance barriers imposed in the United States.  We will be perfectly positioned to supply the tremendous demand for these high-quality CBD, THC and hemp ingredients at a more competitive price than almost anyone in the world.

In addition to ingredients and our own proprietary products, our business model includes “pre-selling” orders for CBD and THC oils and isolates to and for major international distributors and end-users.  With our vast cultivation and production capabilities, orders can be placed for specific strains (both cannabis and hemp) and products the end users desire (i.e. isolates and distillates).  GLFI will then produce the product(s) for them.  We initially entered the CBD space over 2 months ago when we introduced our flagship CBD consumer brand “Green Leaf PURE”.

New Grow Team Overseeing the Argentina ExpansionTo expedite operations in Argentina and ensure we have the expertise to properly launch it, we have retained the consulting firm GrowSmith.  Based in Colorado and led by the company’s president, Shamol Vyas and his team of expert cultivators, GrowSmith is an industry leader having built and managed over 4 million sq. feet of greenhouse, and 300 acres of industrial hemp.

PNTV Launches Green Leaf PURE CBD
When considering all of the possible avenues for expanding revenue and growth, it is hard to ignore the blossoming CBD market and the life-changing benefits these products potentially have. Simply put, the CBD market is poised to be the next gold rush with revenues expecting to exceed $22 Billion in the next four years!

Unlike cannabis products that are subject to a patchwork of state and federal regulations, CBD is derived from hemp and does not include any of the psychoactive qualities found in cannabis (THC). The passing of the 2018 Farm Bill (which included the 2018 Hemp Act) essentially removed hemp from the list of controlled substances, thereby opening the floodgates for hemp-derived products.  Currently the company is sourcing its CBD from other “best of breed” producers of CBD to launch and build its Green Leaf PURE brand.

PNTV has teamed up with MJ Venture Partners, Inc. to launch the CBD brand Green Leaf PURE (GLP) along with an ecommerce website GreenLeafPURE.com. GLP will produce a number of high quality CBD products that consumers are familiar with and commonly use. GLP will also introduce a variety of innovative products to include items for health and beauty, pets, pain management, and sleep. PNTV intends to add new products, brands and lines as new vertical markets develop and opportunities present themselves. Once GLFI start producing CBD, GLP will be the primary brand for consumer based CBD products. Additionally, GLFI intends on providing wholesale CBD isolate and disolates to white label and private label CBD companies through GLP.

Those that are interested in purchasing Green Leaf PURE CBD products will be able to sign up for generous discounts and exclusive offers through PNTV’s Investor Portal. Read the original press release announcing the launch of GLP.
PNTV Announces Development of the Largest Cannabis Farm in the WorldIn an unprecedented move specifically designed to separate PNTV from its competition, the Las Vegas, Nevada based cannabis company has joined forces with the government of Jujuy, Argentina to develop the largest cannabis grow operation in the world, 1,000 times greater than the largest cannabis farm in the United States.

This joint venture between the government owned Cannabis Avatara S.E. (Cannava S.E.) and Green Leaf Farms International has obtained all permits necessary to cultivate, extract, manufacture and export cannabis-based products (both THC and CBD) to other countries where cannabis products are legal, and intend to provide the entire country of Argentina with all of the CBD oils required to conduct clinical studies of refractory epilepsy. PNTV strategically annuls acquisition of its California operation to focus on ArgentinaAcquiring the Salinas Valley, California operation caused significant compliance issues for PNTV that resulted in late second and third quarter filings. After careful consideration, the decision was made to focus existing and future resources/money on PNTV’s partnership with the province of Jujuy, Argentina to develop the largest cannabis farm in the world.

The unwinding of Green Leaf Farms Salinas Valley consists of PNTV receiving $600,000 in 2 payments with an additional payment of up to $500,000 upon closing of an acquisition by a new buyer. “The decision to shift resources and attention from California to Argentina was not made lightly”. Mark Bradley, CEO of PNTV, stated, “We believe it will turn out to be the best decision the company has ever made and will benefit the company and its current and future shareholders.” More information on this strategic decision can be read in the original press release.

PNTV and Cannava S.E. Receive Security Clearance to Import Cannabis Seeds into the Jujuy Province of Argentina

The first major milestone in developing the largest cannabis grow operation in the world has been accomplished. Moving sensitive products such as cannabis seeds across international borders required cooperation at the highest levels of government. In addition, all security clearances required to protect a grow operation of this size and scale has been granted.

The passing of this security resolution allows the Argentinian military and local law enforcement the authority to protect, secure and defend every aspect of the joint partnership taking place between GLFI and Cannava S.E. These security efforts will include the implementation of advanced security protocols currently being installed in Finca El Pongo where the first germination stage of the seeds is expected to take place. Read the original press release announcing this major milestone in PNTV’s project in Argentina.

Green Leaf Farms Announces Definitive Joint Venture with Cannava S.E. and Jujuy, Argentina

A definitive joint venture agreement between PNTV and Cannava S.E. clears the way for the planting of cannabis seeds to begin in March. The cannabis seed planting process will consist of planting a small area to test which strains respond best to the environment in Argentina. The planting of strains to be harvested will begin during Argentina’s spring season that starts in September.

Due to the massive amount of land that PNTV now has at its disposal to grow cannabis products in Jujuy, GLFI will be able to harvest hundreds, if not thousands, of tons of industrial hemp biomass from which to extract a wide spectrum of oils needed to produce CBD products that will be sold around the world. The remaining biomass after extraction will be used to manufacture other environmentally beneficial products such as paper, plastic, textiles, rope, fuel, hempcrete and other hemp-based products to fully utilize the plant with minimal waste.

“This is a groundbreaking project on so many levels,” said Mark Bradley, CEO of PNTV and Green Leaf Farms. “Our business model and scalability surpass that of any other cannabis company in the world. That’s not hyperbole. Thanks to our Joint Venture with Jujuy province government (through Cannava S.E., we will be able to supply, on a massive scale, the key ingredients used to produce an array of environmentally friendly hemp-based products.  This project will create a lot of jobs, and as part of our mandate, we will provide educational programs to the citizens of Argentina. What other cannabis company can claim this kind of government backing and support?” Read the full press releaseannouncing the definitive agreement with Argentina as well as the Form 8-K filing with the SEC.

To sum up, GLFI has a commanding first mover advantage. Its favorable deal in Argentina perfectly positions the company to rapidly become a major player and industry leader in the burgeoning worldwide cannabis and CBD industries.

Sincerely,

Mark Bradley, CEO

Our Mission

Our mission is to create long term shareholder value by monetizing opportunities in the legal cannabis industry.

Our Vision

We try to identify opportunities before they happen and we have the ability to pivot and move quickly. We like to partner at the earliest stage, however, we are open to all stages of a company. We select strong leadership teams, work with them to establish specific objectives, and regularly review their strategy and performance.
